1. Preamble
These Sales Terms govern the financial terms applicable to subscribing to the ArtGuard Service, published by DTech Innovations, sole proprietor, SIREN 982 702 052, registered seat 105 Chemin de Souleyrol, 84570 Malemort-du-Comtat, France ("the Publisher").
These Sales Terms complement the Terms of Service (ToS), with which they are jointly applicable. In case of divergence, the Sales Terms prevail on commercial and financial matters.
2. Scope
Sales Terms apply exclusively to Customers acting for professional purposes (B2B). The Service is not marketed to consumers within the meaning of the French Consumer Code.
3. Subscription plans
The Publisher offers the following subscription plans, with functional scope and pricing detailed on the pricing page at https://artguard.tech:

Pricing and plan content may evolve; existing subscribers are notified of any change at least 60 days before effect.
4. Subscription and payment
4.1 Payment processor
Payments are processed by Stripe Inc. (510 Townsend Street, San Francisco, CA 94103, USA), acting as payment subprocessor. Stripe's terms apply additionally. The Publisher does not directly collect or store card data.
4.2 Terms
- Billing: monthly or annual at the Customer's choice.
- Charging: automatic, by credit card, at each due date.
- Currency: Euro (€).
- VAT: prices are excluding tax. Applicable VAT is added if the Publisher is subject to it on the invoice date (per French sole-proprietor VAT exemption thresholds).
4.3 Payment default
In case of non-payment, the Publisher may suspend access after 7 days of unanswered formal notice. Beyond 30 days, the Publisher may terminate by right, without prejudice to damages.
Pursuant to article L441-10 of the French Commercial Code, late payments incur, without prior reminder, late penalties at 3 times the legal interest rate plus a €40 flat indemnity for recovery costs.
5. Term and renewal
Unless otherwise stated, subscription is:
- Monthly subscriptions: one month, automatically renewed for successive one-month periods.
- Annual subscriptions: twelve months, automatically renewed for successive one-year periods.
Renewal is automatic absent Customer termination before the renewal date, from the dashboard.
The Customer may terminate at any time from the dashboard, effective at the end of the current period. No prorated refund is due.
6. Plan change
The Customer may at any time:
- Upgrade: immediate effect; prorated billing of the new rate over the remaining period.
- Downgrade: effective at the end of the current billing period, no refund.
7. Free trial
If a free trial is offered, its duration and conditions are specified at subscription. At end of trial, the Customer is automatically migrated to the chosen paid plan unless expressly opposed before expiry.
8. Warranty and liability
The limitation of liability under article 10 of the ToS is fully applicable here. No additional warranty, explicit or implicit, is given beyond mandatory law.
9. Right of withdrawal
Pursuant to article L221-3 of the French Consumer Code, the right of withdrawal does not apply to B2B contracts. Subscription is firm and definitive upon acceptance and first payment.
10. Assignment
The subscription is nominative and non-transferable without prior written consent of the Publisher. The Publisher may transfer the benefit of these Sales Terms in case of full or partial business transfer, subject to prior notice.
11. Sales Terms evolution — Customer's termination right
The Publisher may modify these Sales Terms with at least 60 days' notice.
Termination without penalty. Where the modification concerns (i) the applicable price, (ii) the functional scope of the subscribed plan in a manner unfavourable to the Customer, or (iii) a substantial clause of these terms, the Customer may terminate without penalty or cost within 30 days of notification, with effect as of the modification's effective date. The Customer retains access to the Service at the previous price and terms until that date.
Absent opposition or termination within the 30-day period, the new Sales Terms are deemed accepted.
12. Governing law and jurisdiction
These Sales Terms are governed by French law. Exclusive jurisdiction of the courts of the Publisher's registered seat.
